AmeriResource Technologies Inc. acquired 100% ownership in September 2001 of Jim Butler Performance, Inc., ("JBP"), a Tennessee corporation that is in the business of manufacturing and selling high-performance racing engines and parts for racing teams and high-performance car enthusiasts. A full inventory of parts that can be purchased online, as well as a calendar of upcoming events and a technical section that allows JBP's management to answer questions from car enthusiasts.

AmeriResource Technologies Inc. acquired all of the outstanding stock in West Texas Real Estate and Resources, Inc. (WTRER) in July 2000. WTRER owns the rights to certain leased oil rights that have a value exceeding $10,000,000 as documented in a certified audit report issued to WTRER for the leased oil rights. WTRER's lease consists of approximately 800 acres in the Glass Mountain area of Pecos County, Texas. Recent business operations have consisted primarily of analyzing the viability of drilling additional wells and deepening the existing wells on its oil, gas, and mineral lease in Pecos County, Texas.The Company has been in discussions and is in discussions with firms in the Oil & Gas Industry regarding various opportunities.

AmeriResource is also engaged discussions with qualified merger-acquisition candidates in the areas of Homeland Security, Energy, and Travel & Entertainment, as well as special projects in other areas of interest.

(OTC BB: ARES) and two privately owned companies announced today that AmeriResource has completed the purchase of 40% ownership in 449 Corporation and WDHQ, Inc., which are operating franchises of EagleRider, Inc. AmeriResource, is in the process of acquiring the remaining 58% equity in 449 Corporation and 60% of WDHQ Corporation. Upon completion of this acquisition process in the coming months, the acquired businesses will become, respectively, 98%-owned and 100%-owned subsidiaries of AmeriResource.

According to AmeriResource's President, Delmar Janovec, "We have reached a major milestone in our acquisition plans, and we are pleased to become owners in EagleRider franchises operating in San Diego, CA, Palm Springs, CA, St. Louis, MO, and Miami, FL. I believe the best way to answer this is to share with you the events that occured leading up to my decision to become a member of the ARES team. About a year ago I made a decision to investigate differant options that would allow me to take our companies to the next level. I new that we were at the tip of the iceberg of a very, very large recreational/travel industry. At the time we had a variety of differant options available to us. I was introduced to Delmar through a very close personal friend of mine. We discussed the benefits of a relationship with ARES. After an extensive investigation of Delmar and Ares I came to the following concluions. ARES had been a sucessfull small cap company. Due to a series of unforseen events they had experianced set backs that brought them to their present position. Upon further analysis I discovered that as with many business set backs lessons had been learned and they were now in a position to offer us the vehicle to accomplish our goals. We had other offers and avenues but the key ingediant was missing. We had spent an enormous amount of time, effort and capitol to build our business into the success story that it was. It was cucial that whatever entity we chose met the following criteria. Honesty, forward vision, and integrity. We found this in Delmar and the goals he had set for his stockholders. I have read many of the negative comments that have been posted here. I understand the frustrations that many have had. I to have experienced setbacks and frustrations that come with being an entreprenuer. The key is persistance. Nothing can strand in the way of an idea who's time has come. Delmar does understand this and believe me when I say that he has the very best intrest of the stockholders at heart. If he did not I would not be here.

A lot of the OTC stocks do not have real numbers This company does. Last year this company had an income of around 2M dollars. According to the latest PR the income is expected to double with the most recent acquisitions this year. The OS shares currently are at around 250M shares. That puts us at a market cap of only around 2.3M with an income of around 4M coming this year. Wow, wow, and more wow. This company could easily go to a market cap of 40M which would put this stock at about .16 or .17 cents a share. I am gonna hold on to this stock.

As I've said many times, just relax - THIS IS THE REAL DEAL! Yes, it't the first time Delmar will have been truly successful; Yes, the company has had disappointments in the past; Those days are OVER, it seems to me, and when investors see this vividly, there will be tons of interest in this issue - period. If you believe this to be so, invest, if not, don't. This may be the investment of the year for the speculative marketplace. Enjoy the fun.

I know the last PR was the old buy on rumor sell on news deal,the price was already calculated in,by the time the news hits people dumped,but this one might be different,substantial news that hopefully will drive it up like the old days,volume like we havent seen in a long time.There are a lot of investors out there that see a buy for a couple pennies that actually will eventually create revenue and the price spikes up big time.ARES has been nothing but a shell until this next news hits tomorrow hopefully.A lot of people have been playing this,but they might get blown out if they sell early on this upcoming one.I think a lot of people will sell early and then regret it.Good luck !ll.

majordan44: I have several ways of getting info but the last month or so has been like pulling teeth to get anything. That usually means that something is really in the works. When there is nothing going on you hear all kinds of things floating around. I bough more of this stuff yesterday and I will be VERY unhappy if there is not some news out by tomorrow afternoon. The information people in CA still say that the deal on the mototcycle company will be done in the next 3 to 4 weeks. I just really want to know what the real deal is. Delmar is bad about making something out of nothing and pretending that it is a really big deal. Time will tell.

I have a feeling the EagleRider acquisition is ready to close. Plus, they may be offering more restricted shares at a better price.(50% off would now be .004) The PPS may get another boost.

Hello fellow ARES holders,Ive been rampedly rambling on the old FRT,Free real time board,which has been dead for awhile.I will try not to ramble on here.We our all here to make some $,ARES/ARET/Delmar as you know has been through the whole circuit,from loans,to construction,casino,restaurant chefs,to internet access,etc,obviously we have been nothing but a shell.I know several large holders here,basically 1/2 the holdings,bottom line is we now have reputable,confirmed financing,we will within days confirm a % of Eagle Rider,we will then confirm the remainder,from my understanding,but most importantly we will for the first time actually create earnings,soon.We were all dissapointed in the news (finally)but that value was already calculated into the going PPS,price per share.The penny stock game takes a lot of patience,the comphrehension of its potential is crucial,and timing.Other interesting plays are SNG,TMR,CPN,RAD,look at the charts,not any given day price,the sectors,the techs,the inevitable reality is great.CPN for example not only has a huge fleet of power plants throughout the country,it has nearly a Tcf of NG,trillion cubic foot of natural gas,in reserves for its power plants,its book value is over $10,trading currently at $5.60,chart shows over $40 three years ago,obviously before the Enron ordeal & 9/11.SNG and TMR,read their news,progress,prospects,acreage,potential,etc,and I said I wouldnt ramble on this board,sorry.I thought possibly someone out there might follow,monitor,realize.More ARES NEWS coming Tuesday supposedly.Good Luck to all !!! One last thing,those who have been holding ARES,why sell for a penny ???????????? I see some trades go through and I think (what)?? man you are a real pumper. Let me tell you i have been in this stock since 1999 i had up to 1,500,000 shares the reverse split hurt . But i have bought in more and i am hoping this dose make it, but if you go by passed deals that fell apart i have to look at this as the same . There were other big money people before and some very good sounding deals that fell apart. I was just like you then and so were many of the other long timers , this is why we still hold hope but not as strong as you ant more.

In my view, the question is simple: Will Delmar follow through? If he closes this deal and the revenues are as predicted and we're profitable in 2004, we could see .10-.25 in the next 6 months to a year, imo. If he fails, we're stuck here. Is it worth the risk for my expendable $$? You bet it is! To each his own. I've talked to Delmar and he's very intent on making this work and the New York folks wouldn't be involved unless it were moving in a very very good direction, it seems to me. Anyway, do your own DD and prosper. Don't rely on this board for accurate information - CALL THE COMPANY AND/OR IR! btw, fwiw, releases announcing the involvement of large high-caliber financial entities tend to be very conservative, as we saw today. :) Free

That may be true, but my point is that money is not the issue with the EagleRider deal. This New York company is backing the plan fully if needed. I have heard that the DD that ARES is doing with the EagleRider franchises is taking a bit longer than expected, thus Delmar is keeping the $5000 share placements open to current shareholders. Delmar would prefer (good idea or bad) to raise the money through current shareholders and is using the extra DD time to accomplish that.

I heard from the PR guys that this financial backer is willing to fund the entire deal if needed. This would be done without dilution. Delmar just would prefer to fund this deal with minimal help from this financial backer. This stock should get a 5-10x price jump when all is said and done.

I had ARES when it was ARET and it went from $.015-$.30+ in 2000 and the deals they had outstanding didn't happen!

If they do get Financing which should be announced next week, and they do close on the Eaglerider Franchises in February, the PPS could easily go to $.05-$.10+

If they continue with buying more Eaglerider Franchises this year and next year,we could see over $.30+ again!

This doesn't include any other deals that the Company might pursue!!!

GO ARES!!!!!!!!!!!!!!

Had to put an early end to fishing trip. Boson harbor is filling with ice and everything is shutting down. Dang! Looked like something was just beginning last night. Today would have been great.

So no news, hmmmmmmmm. I am surprised but not disappointed. I think no news is good news as we approach the Swiss show in February. I think the Eaglerider deal will be done by then and the show will become an announcement platform.

I think this is a diamond in the rough and a sleeper. These are bikers. I belong to and write articles for a couple of biker groups and talk to hundreds of bikers. Half of them are HD’ers and others mostly older Wings, Retreads, etc. People who deal with bikes are often skilled mechanics and craftsmen, but often not good business people. If you look at the web page for EagleRider you may see evidence of this. I think the site is terrible, not that the ARES site is any better. For example, I dare anyone to find by browsing the following http://www.eaglerider.com/mobile_unit/emuhome.htm I had to cut it out of an HTML frame to share. I think the presentation is terrible but the idea and implementation is unbelievable. Forget having rentals on every street corner. If you are thinking along these lines, you have a very limited business model and concept of really is happening. The mobile unit is where it is at, but who knows about it????? The link is buried. BTW, when I present this to bikers, interest is high. Not to beat a dead horse, but….. What happens when you ride your HD 2000 miles to Sturgis and need an oil change? You and 200,000 other people. What do you do when you or one of your buddies breaks down half way there? MotoTow only covers one incident per week and most towing companies will not touch bikes. The answer is rent nearby or take a mobile unit with your group. If a bike fails call and get another and throw it in the truck and ride up front with the driver. Beats walking. I listen to horror stories all the time involving long trips with biker groups. What Eagelrider has is more than a concept or a business model. It is a prototype reality and a working model.

I think the plan is coming together. The IR firm said that funding for the acquisition by a NY firm (Strausberg(sp?)) will be announced ASAP. Where is it? Dunno. I think patience will bear fruit. Fishing is good, but too darn cold, 10 below and all local schools are closed. Maybe I will try ice fishing on a lake. That sounds like fun.

I think what Eaglerider needs is good marketing and good business navigation. Perhaps we will that soon. Will it? That remains to be seen. SR

There is news (out this morning) but not via public channels. The link is in a previous post. I talked recently (2-days ago) with Co Rep and we are still 4.5 to 5 weeks away from any closing on EagleRider. There may be a progress update next week (my guess).

I know that EagleRider is going on the road in February to Zurich.

They are looking at adding almost triple the number of locations, 4 to 11 by 2005.

The private stock offering has been extended. These are restricted shares (1-year from purchase date) and are going cheap.

I think that the big news has been extended a couple of weeks to coincide with the Zurich show, on or before February 19th, and that is why interest has dropped, for now. Some may have pulled out their money for a month’s time. Will they come back? Who knows.

I am going fishing for a month. See you all in February.
